1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and ARLAM LLP ("Company", "we", "us", or "our"), concerning your access to and use of the convertyourcalls.com website and your purchase and use of the ConvertYourCalls software-as-a-service subscription (the "Service").
By signing up for and using the Service, you confirm that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, Refund Policy, and Cookie Policy. If you do not agree to these Terms, you may not access or use the Site or Service.
ConvertYourCalls operates exclusively as a B2B (business-to-business) platform. The Service is provided solely to businesses for use with their existing customers or opted-in contacts. The Service is not designed for, and must not be used for, unsolicited outbound telemarketing, robocalling, or cold calling of individuals who have not provided prior express consent.
2. Service Description
ConvertYourCalls is a software-as-a-service (SaaS) platform that provides:
- AI-powered voice agents that answer inbound phone calls 24/7
- Web chat bots for your website
- SMS chat agents for text messaging
- Automated appointment booking and calendar integration
- Appointment reminder systems
- Review and feedback collection tools
The Service is subscription-based and billed on a recurring monthly basis. Access is provided to our software platform, technical support, and associated services as described in your selected subscription plan.
3. Subscription and Billing
3.1. Two-Part Billing Structure at Signup.
When you complete your registration and select a subscription plan, two separate charges will be initiated on the same day:
- (a) One-Time Setup Fee — charged at the time of initial signup. This fee covers the engineering work required to custom-build, configure, train, and test your AI agent before it goes live. The Setup Fee is non-refundable once engineering work has begun. See our Refund Policy for full details.
- (b) Monthly Subscription Fee — charged on the same day as the Setup Fee, and establishes your monthly billing date going forward. Monthly Subscription Fee will be charged from your payment method every month (every 30 days) on a recurring monthly basis for continued access to the platform and services.
Both charges will appear as separate line items on your invoice and/or bank statement. By completing the signup process, you authorize both charges simultaneously.
3.2. Recurring Payments. Your monthly subscription is billed automatically on a recurring basis. By subscribing, you authorize us to charge your chosen payment method each billing cycle until you cancel.
3.3. Auto-Renewal. Your subscription will automatically renew at the end of each billing period unless cancelled at least twenty-four (24) hours before the renewal date.
3.4. Pricing. Subscription fees are listed on our pricing page at convertyourcalls.com/pricing.html. Third-party usage costs occured beyond the plan's limits (telephone minutes, SMS segments, phone number rental, vps, zoiper subscriptions) are charged separately at cost and are non-refundable once consumed.
3.5. Payment Processing and Security. All payments are processed securely through our PCI DSS-compliant third-party payment processor(s). ARLAM LLP acts as the seller of record for all transactions. Your payment details are handled directly by our payment processor and are never stored or processed on our servers. Payments are subject to the payment processor's own terms of service and privacy policy, in addition to ours.
3.6. Sales Tax. Where required by applicable law, sales tax, VAT, or GST may be calculated and added to your subscription fee at checkout. The applicable tax rate is determined based on your billing address and jurisdiction.
3.7. Failed Payments. If a recurring payment fails, we will attempt to charge your payment method multiple times. If payment cannot be processed after reasonable attempts, your account may be suspended until payment is successful.
3.8. Daily Usage Reports. You will receive an automated daily email to the address provided at registration summarizing: (a) your consumed plan limits (AI voice minutes and text messages used vs. your plan allowance), and (b) any additional usage charges incurred beyond your plan limits during the current billing period. These reports are provided to ensure full billing transparency.
4. Cancellation and Termination
4.1. Cancellation by You. You may cancel your subscription at any time from your account dashboard or by contacting us at team@convertyourcalls.com. Cancellation takes effect at the end of your current billing period. You will not be charged for the following month. Refund eligibility for the current billing period is governed by our Refund Policy.

4.3. Termination by Us. We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees.
5. Acceptable Use and Legal Compliance
5.1. Legal Compliance
You are solely responsible for ensuring compliance with all applicable local, state, and federal laws regarding the use of AI voice agents and the recording of telephone calls, including but not limited to the Telephone Consumer Protection Act (TCPA) and state-specific call recording and wiretapping laws.
5.2. Call Recording Disclosure
In jurisdictions that require two-party consent for call recording (such as California), you must configure your AI agent to include a clear disclosure at the beginning of each call, such as: "Hi, you're speaking with an AI assistant on a recorded line." By approving your AI agent's script, you confirm it meets all legal requirements in your operating jurisdictions.
5.3. Prohibited Activities and TCPA Compliance
ConvertYourCalls is strictly an inbound customer support and opted-in communications platform. You agree NOT to use the Service for:
- Unlawful purposes or in violation of any local, state, or federal laws, including the Telephone Consumer Protection Act (TCPA).
- Unsolicited outbound telemarketing, robocalling, or cold calling of any individuals who have not provided explicit, legally valid prior express written consent.
- Purchasing lead lists and using our AI to auto-dial or cold-outreach those contacts.
- Fraudulent, deceptive, predatory, or impersonation practices.
- Harassment, threats, debt collection without proper licensing, or abusive communications.
- Violating third-party intellectual property rights.
- Bypassing, hacking, or attempting to gain unauthorized access to our systems.
Violation of these policies will result in immediate account termination without refund, and you agree to fully indemnify ARLAM LLP against any legal claims or regulatory fines arising from your misuse of the platform.
ConvertYourCalls (ARLAM LLP) is not liable for any violations by the customer of applicable telecommunications laws.
5.4. HIPAA Disclaimer
ConvertYourCalls is not currently configured to be a HIPAA-compliant service. You agree not to use the Service to collect, transmit, or store any 'Protected Health Information' (as defined under the Health Insurance Portability and Accountability Act). It is your sole responsibility to ensure your use of the Service complies with your industry-specific regulations.
5.5. Review Requests and Feedback
The Service's review request feature sends automated SMS/email invitations only to your actual customers after service completion. These invitations: (1) are sent only to opted-in or existing customers, (2) allow recipients to freely choose whether to leave a review, and (3) do not offer incentives or rewards for reviews. We do not post reviews on behalf of customers or manipulate review content.
6. Intellectual Property Rights
Unless otherwise indicated, the Site and Service are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us. All intellectual property rights remain with ARLAM LLP.
7. User Representations
By using the Service, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to agree to these Terms; (4) you are not a minor in the jurisdiction in which you reside; and (5) you will not use the Service for any illegal or unauthorized purpose.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW
In no event will ARLAM LLP or its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any cause whatsoever shall not exceed the amount paid by you to us in the three (3) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless ARLAM LLP, its employees, officers, and directors from and against any and all claims, liabilities, penalties, settlements, judgments, and fees (including reasonable legal fees) arising from or in relation to: (a) your violation of these Terms; (b) your violation of any law or regulation; or (c) your use of the Service in a manner that violates call recording laws or causes harm to third parties.
10. Governing Law and Dispute Resolution
These Terms of Service and your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts. This applies regardless of the user's location or the Company's registration in the United Kingdom.
